READ IN FULL 17 August 2026 AND IT REFUTES THE STAGE THE CHAPTER GAVE THE TRANSACTION. THE HEADLINE SAYS ACQUIRES AND THE BODY DOES NOT. WHAT THE COMPANY STATEMENT SAYS: Estithmar Holding Q.P.S.C. announced the completion of AN AGREEMENT SIGNED to invest in Shahba Bank; under the deal CONCLUDED SUNDAY MORNING IN DAMASCUS, Masaref Holding, a subsidiary of Estithmar Capital, WILL TAKE a 49 per cent stake. Masaref Holding LLC signed the agreement with representatives of BEMO SAUDI FRANSI BANK AND AHLI TRUST BANK. AND THEN THE SENTENCE THAT SETTLES THE STAGE: the statement CONFIRMED THAT THE CONCLUSION OF THE TRANSACTION WILL BE SUBJECT TO SEVERAL CONDITIONS PRECEDENT that the parties are required to fulfil, most notably obtaining the necessary REGULATORY APPROVALS from the Central Bank of Syria, the Syrian Commission on Financial Markets and Securities, and the Competition Protection and Anti-Monopoly Commission. SO THE STAGE IS SIGNED AGREEMENT, NOT FINANCIAL CLOSE. Nothing in this project may say the stake was acquired, that equity entered the sector, or that the sector has been recapitalised by it. The buyer is MASAREF HOLDING LLC, not Estithmar Holding, and the chapter names it. CONSIDERATION IS NOT DISCLOSED IN THE STATEMENT and no figure may be printed. NOT VERIFIED HERE: whether any of the three approvals has since been given. That is a live bar on any completion sentence. THE LISTED PARENT'S OWN INTERIM STATEMENTS OPENED 11 SEPTEMBER 2026 for AQ-73 B15 (SRC-508): the condensed consolidated interim financial statements for the six months to 30 June 2026, reviewed 12 August 2026, contain no reference to Shahba Bank, Masaref or a Syrian bank acquisition; 'Syria' occurs only as the related-party name 'Syrian American Medical Centre'. The Qatar Stock Exchange disclosure itself remains unopened. [applied from audits/reports/AQ73_B15_twenty_seven_institutions_2026-09-11.md, 12 September 2026]
ARABIC EDITION READING, 21 SEPTEMBER 2026: QNA's Arabic of the same item retrieved, HTTP 200, held at research/CH6_AR_2026-09-21/press_ar/qna_ar_estithmar_2026-04-26.html: [quotation withheld, 8 words; follow the citation]; [quotation withheld, 24 words; follow the citation]. A LATER ITEM, FOR THE AUTHOR AND THE ENGLISH LOOP, DATED THE BOOK'S CLOSING DATE: Al-Sharq of Doha, 17 September 2026 at 21:20 (press_ar/alsharq_shahba_transfer_2026-09-17.html), with the Gulf Times (21:36) and The Peninsula (20:44) English reports of the same statement held beside it (press_ar/gulftimes_shahba_transfer.html, peninsula_shahba_transfer.html), all HTTP 200: Estithmar Holding announced [quotation withheld, 14 words; follow the citation] from Bemo Saudi Fransi Bank and Ahli Trust Bank [quotation withheld, 21 words; follow the citation]. The company's exchange disclosure itself, the primary, was not retrieved; the three reports of it are what is held. Chapter 6 v84 line 219 holds the transaction at a signed agreement awaiting three regulators and prints 49 per cent; the announcement is of a completed transfer of 48.68 per cent. Whether the English takes a dated exception is the author's under D-213.
THE APRIL ATTACHMENT ITSELF, 21 SEPTEMBER 2026: the company's statement to the exchange of 26 April 2026 retrieved from the exchange's own attachment endpoint (ig=82afb4ce-a162-4f91-af7e-48bac753edd1), HTTP 200 application/pdf, held at research/CH6_AR_2026-09-21/press_ar/qse_estithmar_disclosure_april2026.bin (230,272 bytes, 2 pages). Its first page: 'has signed an agreement to invest in Shahba Bank through its subsidiary Estithmar Capital. Under the deal, concluded this morning in Damascus, Masaref Holding, a subsidiary of Estithmar Capital, will take a 49% stake in Shahba Bank'; 'Masaref Holding LLC signed the agreement with representatives of Bemo Saudi Fransi Bank and Ahli Trust Bank.' So the signed agreement is confirmed by the party with its material terms (parties, 49 per cent, conditions), which is what transaction_status.tsv requires at SIGNED_CONTRACT; the completion is at SRC-625.
In its Notes: "[quotation withheld, 24 words; follow the citation]"
CORRECTION TO THE APPEND ABOVE, 21 SEPTEMBER 2026 (B-1 of the D-216 diff review): the attachment carries the parties and the 49 per cent; it does not carry the conditions-precedent sentence or the three regulators, which remain on QNA's report of the exchange statement; the exchange's own April record (the item's Description in the company-news listing) is not held: the listing held on 21 September carries recent items only and was not paged back to April, an untried route.
