THE FOUNDING INSTRUMENT, READ AT ALL SIXTEEN ARTICLES. It settles a date, and it turns the chapter's sovereign-fund passage from an absence claim into a documented one. DATE, SETTLED AT THE INSTRUMENT: the decree is dated at its foot 'Damascus, 28 Dhu al-Hijjah 1446 AH, 24 June 2025', and is signed by Ahmad al-Sharaa as President. SANA's 9 July 2025 at SRC-143 is therefore the ANNOUNCEMENT date, not the issue date. The earlier manuscript gives 9 July 2025 as the issue date in two places and is wrong on both. LEGAL AUTHORITY, ARTICLE PREAMBLE: the President acts 'based on the provisions of the Constitutional Declaration and on the requirements of the supreme national interest'. There is no enabling statute cited. ARTICLE 2: an institution of an economic character called the Sovereign Fund, with legal personality and financial and administrative independence, seated in Damascus and LINKED TO THE PRESIDENCY OF THE REPUBLIC. ARTICLE 4, AND THIS IS THE FINDING: 'The Fund operates relying on a strict and transparent governance system through: (a) quarterly and annual reports submitted to the Presidency of the Republic; (b) financial auditing via bodies independent of the Fund; (c) real-time oversight and the correction of errors before they occur.' THE OVERSIGHT PAGE OF THE FUND'S WEBSITE AT SRC-142 IS A RESTATEMENT OF THIS ARTICLE. The fund publishes its own founding clause as its transparency record: no auditor is named, no report is published, and the reports that Article 4 does require go to the owner rather than to a reader. ARTICLE 5 AND 6: the Fund is administered by a Board of Directors and a Director General. The Board comprises a chairman; the DIRECTOR GENERAL as deputy chairman and member; the deputy Director General as member; one of the Fund's directors as member; and three experts as members. SEVEN SEATS, OF WHICH THREE ARE THE FUND'S OWN EXECUTIVES, AND THE DIRECTOR GENERAL SITS AS DEPUTY CHAIRMAN OF THE BODY THAT OVERSEES THE DIRECTOR GENERAL. The website at SRC-142 calls this 'an independent Board of Directors'. ARTICLES 7, 8 AND 15, WHICH TOGETHER MAKE THE CHAPTER'S POINT: the Board is NAMED BY DECREE; the Director General is NAMED BY DECREE and is the contracting officer for expenditure, the authorising officer for settlement and disbursement, and represents the Fund before the judiciary and third parties; and the organisational structure including the numerical staffing table is ISSUED BY DECREE. THREE PUBLICATION-CAPABLE MECHANISMS ARE WRITTEN INTO THE INSTRUMENT ITSELF, and Decree 117 of 2025 at SRC-144 proves the mechanism works, because it published the Development Fund's Director General by name. No such published decree names the Sovereign Fund's Board, its Director General or its staffing table. ARTICLE 14, AND IT IS THE ASYMMETRY: 'The internal regulation of the Fund is issued by a decision of the Director General.' Article 12 makes the Director General responsible before the Board and before the President and provides that the DG 'undertakes the tasks and competences set out in the Fund's internal regulation'. SO THE ONE DOCUMENT THAT DEFINES WHAT THE CHIEF EXECUTIVE MAY DO IS MADE BY THAT CHIEF EXECUTIVE, and it is the only major instrument in the decree not required to issue by decree. ARTICLE 13, REVENUES: state appropriations and monies allocated to it; resources realised from the Fund's activities; the value of fixed assets and the investments belonging to it; and subsidies, gifts and donations accepted under the laws in force. NOTE, STATED AS AN APPARENT SLIP AND NOT OVER-READ: limb 3 reads 'the fixed assets in THE COUNCIL (al-majlis) and the investments belonging to it', where every other provision says THE FUND (al-sunduq). It is either a drafting slip in the founding instrument or a reference to another body, and nothing in the decree resolves which. ARTICLES 10 AND 11: a quorum requires a majority including the chairman, and a tied vote is carried by the chairman's side. ARTICLE 16: the decree is published and is effective from the date of its issuance. THERE IS NO ARTICLE REQUIRING ANY REPORT, ACCOUNT, AUDIT OPINION, ASSET SCHEDULE OR VALUATION RULE TO BE PUBLISHED TO ANYONE OUTSIDE THE PRESIDENCY.
